Jacob is an accomplished transactional lawyer providing practical, business-focused counsel. He approaches complex situations from both the legal and business standpoints, identifying issues that matter most to his clients and delivering customized, forward-thinking strategies with an eye on the bottom line.
Jacob concentrates his practice in the acquisition, financing, construction, leasing and disposition of commercial property. He has significant experience in equity participations and joint venture formation, structuring and negotiation, having represented both developers and investors in single-asset and portfolio transactions of all real estate asset classes, including multi-family buildings and complexes, office buildings, shopping centers, hotels and mixed-use facilities. While Jacob has handled projects nationwide, he has focused most extensively on projects in New York City and the surrounding metropolitan area, where he has acted as lead attorney in many complex transactions.
Jacob has worked on multi-million dollar M&A transactions and regularly represents strategic investors and public and private companies in acquisitions, investments, divestitures, joint ventures and carve-out transactions and regularly serves as outside corporate counsel to entrepreneurs, business owners and local and international companies, helping them structure, negotiate and document deals from formation and financing through the acquisition, growth, restructuring, merger or sale of their business interests.
His experience includes all forms of general corporate representation on behalf of publicly held and private corporations, partnerships, and other entities in a variety of industries, including energy, real estate, information technology, fashion and retail. Jacob’s client base is wide-ranging, and includes individual and institutional real estate developers, syndicators, private equity firms, emerging and mature technology companies, apparel companies, construction companies, commercial and consumer product manufacturers, luxury goods manufacturers, consumer electronics firms, retailers, content creators and owners, holders of internationally recognized brands and a variety of private business owners.
Jacob has also served as an outside general counsel to a number of privately-held businesses.
Jacob is also an active principal in a family-owned real estate business, covering retail, office, hotel, and multi-family properties, and including a brokerage and property management arm. Jacob’s experience with managing and developing his own properties gives him a business insight and perspective that both complements and enhances his knowledge of the issues concerning commercial real estate.
